These terms govern the purchase and use of the services offered by Solutions ProspèrIA inc. (“ProspèrIA”) through solutionsprosperia.com. Our services include AI transformation advisory (CAPE methodology), our platform subscription (MASP), workshops/training, and implementation mandates.
1. Service agreements and general terms
Any advisory agreement, proposal, or signed contract prevails over these general terms in the event of a discrepancy; these terms apply otherwise, or on a supplementary basis.
2. Pricing and payment
Prices are in Canadian dollars (CAD), plus applicable taxes. Full payment confirms the service; ProspèrIA reserves the right to decline a registration at its discretion.
Terms vary by service type:
- Platform subscription (MASP): billed on a recurring monthly basis, per user, in advance.
- Advisory / CAPE mandates: 50% upon acceptance and 50% upon completion (no later than three months after the start).
- Workshops and training: 100% at purchase.
Late payment: interest of 1.531% per month (20% per year) applies to any balance unpaid after 30 days. Accepted payment methods: cheque, bank transfer, credit card.
3. Cancellation and termination
- Workshops and training: cancellation is possible up to 30 days before the event, subject to a retention of $225 + taxes. After that, no refund is issued, but a participant may be replaced. If ProspèrIA cancels: postponement or full refund.
- Subscription (MASP): terminable on 10 business days’ written notice; the current period remains payable.
- Advisory mandates: unilateral termination on 10 business days’ written notice; the client remains responsible for services rendered and pre-approved expenses up to the effective date.
4. Nature of AI services and liability
- ProspèrIA is bound by an obligation of means, not of result.
- The services rely on generative artificial intelligence systems, whose outputs may contain inaccuracies. The client remains responsible for validating results before any use and for the decisions made on that basis.
- ProspèrIA promotes a responsible and supervised use of AI; it does not replace the client’s professional judgment.
- Except in cases of gross or intentional fault, ProspèrIA’s liability is limited to the fees paid for the relevant service, excluding indirect damages.
5. Confidentiality and protection of personal information (Law 25)
ProspèrIA processes the client’s data and personal information solely for the purpose of providing the services, with reasonable security measures, in compliance with Law 25. Processing is detailed in our Privacy Policy.
6. Intellectual property
- The CAPE methodology, templates, agents, configurations, prompts, and documentation of ProspèrIA remain its exclusive property.
- The client’s data and final deliverables belong to the client, subject to full payment.
- The client obtains a right to use ProspèrIA’s components solely for the agreed purposes; reproduction or resale requires written authorization.
7. Publicity
The client authorizes ProspèrIA to display its name and logo as a reference. This consent is revocable at any time upon written request.
8. Governing law
These terms are governed by the laws of Québec. Any dispute is submitted to the courts of the judicial district of Longueuil.
